End User License Agreement.
Your rights and responsibilities when using Inventory Guardian.
Grant of license
Geauxvee, as the parent company and owner of Inventory Guardian, grants you a limited, non-exclusive, non-transferable, revocable license to access and use Inventory Guardian solely for your internal business operations, subject to the terms of this Agreement and your active subscription.
Restrictions
You may not:
- copy, modify, or distribute the software or any portion of it
- reverse engineer, decompile, or disassemble the application
- sublicense, sell, resell, or transfer the application to any third party
- use the application to build a competing product or service
- remove or alter any proprietary notices, labels, or branding
Ownership
Inventory Guardian and all related intellectual property — including but not limited to the code, design, documentation, and trademarks — remain the exclusive property of Geauxvee. This Agreement does not transfer any ownership rights to you.
Your data
You retain ownership of all inventory and business data you enter into the application. Geauxvee claims no intellectual property rights over your data. See our Privacy Policy for details on how data is stored and handled.
Updates and modifications
Geauxvee may update, modify, or discontinue features of Inventory Guardian at any time. We will make reasonable efforts to communicate material changes in advance. Continued use after an update constitutes acceptance of the modified application.
Subscriptions and access
Access to paid features requires an active subscription purchased through the applicable platform marketplace or directly from Geauxvee. For the Jira Cloud version, subscriptions are managed through the Atlassian Marketplace. If your subscription lapses or is cancelled, access to paid-tier features will be suspended. The Free tier is available for personal, non-commercial evaluation only and may not be used by organizations or for commercial purposes. A paid plan is required for any business, team, or commercial use.
No warranty
Inventory Guardian is provided “as is” and “as available.” Geauxvee makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the application will be error-free or uninterrupted.
Limitation of liability
To the fullest extent permitted by applicable law, Geauxvee shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the application. Geauxvee’s total liability to you shall not exceed the amounts you paid in the three months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Geauxvee and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the application, violation of this Agreement, or infringement of any third-party rights.
Termination
This license is effective until terminated. It terminates automatically if you breach any term of this Agreement. Upon termination, you must cease all use of the application. Geauxvee may also terminate or suspend access for violations of this Agreement or the Terms of Use.
Governing law
This Agreement is governed by the laws of the State of Louisiana, without regard to conflict of law principles.
Entire agreement
This EULA, together with the Terms of Use and Privacy Policy, constitutes the entire agreement between you and Geauxvee regarding your use of Inventory Guardian.
